Academies: What will the governance structure be?
All academies are established as charitable companies limited by guarantee and must have both:
Members (sometimes referred to as ‘trustees’ or ‘shareholders’) whose role is to meet (usually no more than once a year) to ensure the safeguarding of the character and ethos of the school and hold the governing body to account. They will also appoint the majority of the governing body’s members
and
Governors (also referred to as directors) who are responsible in the same way as governing bodies of VA and VC schools for the strategic direction of the school, safeguarding the school’s finances and other assets and the quality of its educational provision.
In a VA academy there are likely be 4 members, one of whom will be the Chair of Governors. The other 3 will be Church related (typically people or organisations such as a Bishop, an Archdeacon, the Incumbent, the DBE/DBF/Diocesan Education Trust) At governor level there will continue to be a majority of foundation governors which will include an ex officio governor if one is included in the constitution of the predecessor VA school.
In a VC academy there will be 25% Church representation at both members and governor level. The involvement of the ex officio governors will continue as in a VC school.
